Notice regarding absorption-type merger between consolidated subsidiaries
Archem Inc., Ltd. (Head office: Minato-ku, Tokyo; Representative Director and Global CEO: Satoru Kusano; hereinafter "ACBJ"), a consolidated subsidiary of Archem Business Japan Ltd. (Head office: Minato-ku, Tokyo; Representative Director and Global CEO: Satoru Kusano Kusano), and Archem Forming Japan Co., Ltd. (Head office: Nabari City, Mie Prefecture; Representative Director and President: Takashi Nagatomo; hereinafter "ACFJ"), are pleased to announce that they have decided to carry out an absorption-type merger (hereinafter "the Merger") with ACBJ as the surviving company and ACFJ as the disappearing company, with the effective date scheduled for April 1, 2024.

2. Succession of business transactions following the merger
Following this merger, all of ACFJ's rights and obligations will be comprehensively transferred to ACBJ, and transactions with ACFJ will also be transferred to ACBJ.
3. Effective date
April 1, 2024 (planned)
4. Merger Policy
An absorption-type merger in which ACBJ is the surviving company and ACFJ is the disappearing company.
